Logicon Systems SaaS Standard Terms and Conditions
1. Acceptance of Standard Terms
These Terms and Conditions (“Terms”) govern your access to and use of the software as a service (“SaaS”) provided by Logicon Systems (“Logicon”, “we”, “us”, or “our”). By accessing or using the Services, you (“Customer”, “you”, or “your”) agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, you are not authorized to use the Services.
2. Definitions
- Account: An account created by you to access the Services.
- Documentation: User manuals, specifications, and other documentation related to the Services.
- Services: The software applications, features, and functionality offered by Logicon through the Website.
- Subscription Term: The period of time for which you have subscribed to the Services, as specified in your order.
- Website: The website located at https://www.logiconsystems.com/ https://www.logilink.io/ or any successor URL.
3. Services
Logicon grants you a non-exclusive, non-transferable right to access and use the Services during the Subscription Term, solely for your internal business purposes. You may not sublicense the Services.
4. Customer Data
You are responsible for all data uploaded to or stored within the Services (“Customer Data”). Logicon will not access your Customer Data except as necessary to provide the Services or as required by law.
5. Intellectual Property
Logicon owns all intellectual property rights in the Services and Documentation. You are granted no rights to the intellectual property of Logicon except for the limited right to use the Services as expressly permitted under these Terms.
6. Your Obligations
You agree to:
- Use the Services only for lawful purposes.
- Not access or use the Services in a way that interferes with or disrupts the Services or any other user’s use of the Services.
- Not modify, reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services.
- Maintain the security of your Account credentials.
- Comply with all applicable laws and regulations.
7. Disclaimers and Warranties
THE SERVICES ARE PROVIDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LOGICON DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND SECURITY. LOGICON DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
8. Limitation of Liability
LOGICON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF LOGICON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LOGICON’s LIABILITY UNDER THESE TERMS SHALL IN NO EVENT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES DURING THE PREVIOUS TWELVE (12) MONTHS.
9. Term and Termination
These Terms shall remain in effect until terminated by either party. You may terminate these Terms by ceasing to use the Services. Logicon may terminate these Terms or your access to the Services at any time for any reason, with or without notice.
10. Changes to Terms
Logicon may revise these Terms at any time by posting the revised Terms on the Website. You are bound by any revisions to these Terms. It is your responsibility to periodically review these Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
12. Entire Agreement
These Terms constitute the entire agreement between you and Logicon regarding the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
13. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
14. Waiver
No waiver by Logicon of any breach of these Terms shall constitute a waiver of any other breach.

OEM, Enterprise and developer clients are contracted subject to additional specific terms and conditions that supersede these terms and any conflict shall be governed by the OEM, Enterprise and developer contract terms.
